IMPORTANT NOTICE

These Driver Platform Terms and Conditions (“Terms,” “Terms and Conditions,” or “Agreement”) govern access to and use of the CiRide Platform by Transportation Network Company (“TNC”) Drivers, Taxi Drivers, and, participating Taxi Companies.

The CiRide Platform supports two distinct transportation service models:

  1. TNC Services, through which qualified TNC Drivers may receive prearranged passenger transportation requests through the CiRide TNC Platform; and
  2. Taxi Services, through which participating Taxi Companies and their authorized Taxi Drivers may use CiRide technology, including the CiRide Passenger Application, dispatch technology, Smart Taximeter, and applicable payment integrations.

These Terms are intended to establish the contractual rights and responsibilities of CiRide, TNC Drivers, Taxi Companies, and Taxi Drivers while preserving all rights and obligations imposed by applicable federal, Washington State, King County, City of Seattle, and other applicable laws and regulations.

Nothing in these Terms is intended to waive, eliminate, or restrict a right, protection, minimum compensation requirement, regulatory obligation, or governmental authority that cannot lawfully be waived or restricted.

 

PART A — GENERAL TERMS

SECTION 1. PURPOSE

1.1 Purpose

The purpose of these Terms is to establish the terms under which authorized Drivers may access and use the CiRide Platform to provide or facilitate transportation services to Passengers.

These Terms govern matters including:

  • access to and use of the CiRide Platform;
  • Driver eligibility;
  • TNC transportation services;
  • Taxi transportation services;
  • Platform Subscription Fees;
  • Trip requests;
  • payment processing;
  • Driver Earnings;
  • safety;
  • insurance;
  • regulatory compliance;
  • Passenger service;
  • account suspension and termination;
  • dispute resolution; and
  • other matters associated with use of the CiRide Platform.

1.2 Separate Transportation Models

The TNC and Taxi service models are separate transportation models.

A TNC Driver is subject to the provisions applicable to TNC Drivers.

A Taxi Driver is subject to the provisions applicable to Taxi Drivers and the requirements of the affiliated Taxi Company.

A Driver's use of the CiRide Platform does not, by itself, change the legal classification of the underlying transportation service.

1.3 Compliance With Law

These Terms shall be interpreted consistently with Applicable Law.

Where Applicable Law imposes requirements that cannot be modified by private agreement, those requirements shall control.

 

SECTION 2. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below. Singular terms include plural terms and plural terms include singular terms where the context requires.

2.1 “CiRide Platform”

“CiRide Platform” means CiRide's software, mobile applications, websites, dispatch systems, Smart Taximeter technology, payment integrations, databases, communications systems, driver applications, passenger applications, account-management systems, data systems, and related services.

2.2 “TNC”

“TNC” means a transportation network company providing or facilitating prearranged, app-based passenger transportation services through an approved online dispatch application or digital network.

For purposes of these Terms, CiRide provides technology supporting its TNC services subject to Applicable Law.

2.3 “TNC Driver”

“TNC Driver” means an individual authorized to provide transportation services through the CiRide TNC Platform who satisfies all applicable licensing, permitting, vehicle, insurance, background-check, training, safety, and other regulatory requirements.

2.4 “Taxi Company”

“Taxi Company” means a taxicab company or other transportation business authorized to operate taxicabs and participating in CiRide's taxi technology services.

2.5 “Taxi Driver”

“Taxi Driver” means an individual authorized to operate a taxicab affiliated with a participating Taxi Company and authorized to use the applicable CiRide Taxi Platform.

2.6 “Passenger”

“Passenger” means a person requesting or receiving transportation through the CiRide Platform or an affiliated taxi service.

2.7 “Smart Taximeter”

“Smart Taximeter” means CiRide's electronic taximeter technology used in connection with taxi transportation, including technology used to calculate, display, record, or communicate applicable taxi fares and Trip information.

The Smart Taximeter does not independently establish a Taxi Company's legally applicable fare structure.

2.8 “Trip”

“Trip” means a transportation service requested, dispatched, accepted, initiated, or completed through the applicable CiRide system or an affiliated taxi service.

2.9 “Driver App”

“Driver App” or “CiRide Driver App” means the driver-facing mobile application or technology through which an authorized Driver may access the CiRide Platform, receive or manage Trip requests, review Trip information, access account information, and use authorized platform functions.

2.10 “Passenger Application”

“Passenger Application” or “CiRide Passenger Application” means the passenger-facing application, website, or technology through which Passengers may request transportation, receive Trip information, view applicable fare information, and access other transportation-related services.

2.11 “Platform Subscription Fee”

“Platform Subscription Fee” means the recurring fee charged for applicable CiRide technology and platform services.

Unless otherwise agreed in writing:

  • TNC Drivers are subject to a $50.00 weekly Platform Subscription Fee; and
  • Taxi Drivers are subject to a $25.00 weekly Platform Subscription Fee.

Applicable taxes may be added where required by law.

2.12 “TNC Fare”

“TNC Fare” means the fare or passenger charge applicable to a Trip provided through the CiRide TNC service and displayed or otherwise disclosed through the CiRide Passenger Application.

2.13 “Taxi Company Fare”

“Taxi Company Fare” means the applicable fare for a taxi Trip established by the affiliated Taxi Company or applicable governmental authority and implemented through the Smart Taximeter.

2.14 “Stripe Payment Gateway”

“Stripe Payment Gateway” means the third-party payment-processing technology used by CiRide for applicable electronic TNC passenger payments and earnings disbursements.

2.15 “Square Account”

“Square Account” means the private payment-processing account maintained by the applicable Taxi Company or authorized taxi business for processing taxi passenger payments.

2.16 “Square Terminal”

“Square Terminal” means the payment-processing terminal or related hardware used with the Taxi Company's Square Account.

2.17 “Applicable Law”

“Applicable Law” means all federal, state, county, municipal, administrative, regulatory, licensing, permitting, transportation, tax, insurance, safety, accessibility, nondiscrimination, privacy, and other laws, rules, regulations, ordinances, orders, and requirements applicable to CiRide, a Driver, Taxi Company, Passenger, vehicle, or Trip.

2.18 “Regulatory Authority”

“Regulatory Authority” means any governmental, licensing, permitting, transportation, administrative, law-enforcement, or other authority having jurisdiction over the services covered by these Terms.

2.19 “CiRide TNC Platform”

“CiRide TNC Platform” means the portion of the CiRide Platform designated for TNC services, including the applicable Driver App, Passenger Application, online dispatch system, payment system, Trip-management technology, and related services.

2.20 “CiRide Taxi Platform”

“CiRide Taxi Platform” means the portion of the CiRide Platform designated for participating Taxi Companies and Taxi Drivers, including dispatch technology, Smart Taximeter technology, Driver App, Passenger Application, payment integrations, and related services.

2.21 “Independent Contractor”

“Independent Contractor” means a person or business providing services under an independent-contractor relationship, to the extent recognized and permitted by Applicable Law.

For TNC Drivers, the parties intend an independent-contractor relationship subject to Applicable Law.

2.22 “Government Fees”

“Government Fees” means taxes, regulatory assessments, licensing fees, per-Trip fees, accessibility surcharges, or other governmental charges applicable to transportation services.

2.23 “Gross Fare”

“Gross Fare” means the gross passenger fare attributable to a completed Trip before permitted or required deductions, adjustments, statutory fees, insurance costs, refunds, or other authorized amounts.

2.24 “Driver Earnings”

“Driver Earnings” means the amount payable or disbursable to a Driver after applicable authorized fees, deductions, adjustments, and other amounts.

For TNC Drivers, Driver Earnings remain subject to all mandatory minimum compensation and other non-waivable legal requirements.

2.25 “Service Type”

“Service Type” means the applicable transportation model, including TNC service or Taxi service.

2.26 “Terms and Conditions” or “Agreement”

“Terms and Conditions” or “Agreement” means these CiRide Driver Platform Terms and Conditions, including all applicable Parts, sections, amendments, policies, and acknowledgments.

2.27 Interpretation of Defined Terms

References to “CiRide,” “Company,” “we,” “us,” or “our” mean CiRide Inc.

References to “Driver,” “you,” or “your” mean the applicable TNC Driver or Taxi Driver.

 

SECTION 3. CIRIDE PLATFORM

3.1 Technology Provider

CiRide provides technology intended to connect transportation providers and Passengers and facilitate Trip management, communications, payment processing, and related transportation services.

3.2 No Guarantee of Trips

CiRide does not guarantee:

  • a minimum number of Trip requests;
  • a minimum level of Passenger demand;
  • a minimum income;
  • a minimum revenue;
  • a minimum number of hours; or
  • any particular financial result.

3.3 Platform Modifications

CiRide may modify, improve, suspend, replace, or discontinue portions of the CiRide Platform when reasonably necessary for technology, safety, regulatory, security, or business purposes.

3.4 Regulatory Requirements

Use of the CiRide Platform remains subject to all applicable governmental requirements.

 

SECTION 4. ACCEPTANCE OF TERMS

By downloading, installing, accessing, logging into, or operating the CiRide Driver App, the Driver accepts and agrees to these Terms.

If the Driver does not agree to these Terms, the Driver must not use the CiRide Platform.

 

SECTION 5. ELIGIBILITY

A Driver must satisfy all requirements applicable to the Driver's Service Type.

Requirements may include:

  • minimum age;
  • valid driver's license;
  • applicable for-hire license or permit;
  • vehicle eligibility;
  • insurance;
  • background checks;
  • driving-history requirements;
  • required training;
  • required examinations;
  • vehicle inspections;
  • regulatory permits;
  • tax requirements; and
  • other requirements imposed by Applicable Law.

 

SECTION 6. ACCURATE INFORMATION

Drivers must provide complete, truthful, and accurate information to CiRide.

Drivers must promptly update information concerning:

  • driver's license;
  • permits;
  • insurance;
  • vehicle;
  • contact information;
  • payment information;
  • regulatory status; and
  • other information reasonably required by CiRide or Applicable Law.

Providing false, misleading, incomplete, or fraudulent information may result in suspension or termination.

 

SECTION 7. DRIVER ACCOUNT

Each Driver may maintain only the account authorized by CiRide unless CiRide expressly permits otherwise.

Drivers may not sell, transfer, lease, loan, or share their account.

Only the authorized Driver may operate under that Driver's account.

 

SECTION 8. ACCOUNT SECURITY

Drivers are responsible for protecting:

  • passwords;
  • login credentials;
  • authentication information;
  • mobile devices;
  • account information; and
  • other security information.

Drivers must immediately notify CiRide of suspected unauthorized account access.

 

SECTION 9. PLATFORM USE

Drivers shall use the CiRide Platform only for lawful and authorized transportation purposes.

Drivers shall not:

  • manipulate Trip information;
  • falsify location information;
  • interfere with Platform operations;
  • use unauthorized software;
  • circumvent security systems;
  • impersonate another Driver;
  • allow unauthorized persons to access an account; or
  • engage in fraudulent activity.

 

SECTION 10. COMPLIANCE WITH LAW

Every Driver shall comply with Applicable Law.

Nothing in these Terms authorizes a Driver to operate without a required:

  • license;
  • permit;
  • insurance;
  • inspection;
  • endorsement;
  • vehicle authorization; or
  • other governmental approval.

 

SECTION 11. NO WAIVER OF NON-WAIVABLE RIGHTS

Nothing in these Terms shall be interpreted as waiving any statutory right, minimum compensation requirement, regulatory protection, governmental enforcement authority, or other legal requirement that cannot lawfully be waived.

 

SECTION 12. RELATIONSHIP OF THE PARTIES

12.1 TNC Drivers

CiRide provides a digital platform through which qualified TNC Drivers may receive prearranged passenger transportation requests.

The TNC Driver is an independent contractor and is not an employee, partner, joint venturer, agent, or representative of CiRide solely by using the CiRide Platform.

The parties expressly intend that the TNC Driver's relationship with CiRide is a solely independent-contractor service relationship, subject to Applicable Law.

Nothing in these Terms creates an employment relationship between CiRide and the TNC Driver.

Subject to Applicable Law and these Terms:

  • the TNC Driver determines when to log into the CiRide Driver Platform;
  • CiRide does not require the Driver to work a particular number of hours;
  • the Driver may perform lawful work for other businesses and transportation platforms;
  • the Driver is not required to accept every Trip request;
  • the Driver may stop providing services through CiRide by deactivating the account, subject to outstanding contractual obligations; and
  • CiRide may establish safety, regulatory, technology, passenger-service, and Platform standards applicable to Trips performed through CiRide.

The parties acknowledge that the contractual designation of a relationship does not override any classification, compensation, or other requirement imposed by Applicable Law.

Nothing in this section limits CiRide's rights or obligations under applicable Washington TNC law, including RCW Chapter 46.72B, or other Applicable Law.

12.2 Taxi Companies and Taxi Drivers

Taxi Companies participating in the CiRide Platform remain independent transportation businesses.

CiRide provides technology services to the Taxi Company and its authorized Drivers.

The Taxi Company remains responsible for:

  • taxi licensing;
  • vehicle permits;
  • Driver licensing;
  • taxi fare structures;
  • vehicle maintenance;
  • Driver management;
  • applicable insurance;
  • regulatory compliance;
  • employment or contractor relationships with its Drivers;
  • collection and reporting of applicable taxes; and
  • other responsibilities imposed by Applicable Law.

 

PART B — TNC DRIVER TERMS

SECTION 13. TNC DRIVER STATUS

A TNC Driver using the CiRide TNC Platform must remain qualified under Applicable Law.

The Driver is responsible for maintaining all required licenses, permits, insurance, and vehicle eligibility.

 

SECTION 14. TNC DRIVER PERMIT

The TNC Driver shall obtain and maintain all required for-hire driver permits and authorizations.

The Driver must not provide TNC transportation through CiRide while any required permit or authorization is expired, suspended, revoked, or otherwise invalid.

 

SECTION 15. TNC DRIVER ONBOARDING

Before activation, CiRide may require:

  • identity verification;
  • driver's license verification;
  • driving-history review;
  • criminal background check;
  • vehicle information;
  • insurance documentation;
  • vehicle inspection;
  • training;
  • examination;
  • regulatory permits; and
  • other compliance documentation.

 

SECTION 16. TNC PLATFORM SUBSCRIPTION FEE

The TNC Driver agrees to pay CiRide a $50.00 weekly Platform Subscription Fee, plus applicable taxes where required.

The subscription fee provides access to applicable CiRide technology and Platform services.

The subscription fee does not guarantee any number of Trips, Passenger requests, hours, or earnings.

 

SECTION 17. TRIP REQUESTS

TNC Drivers may receive Trip requests through the CiRide Driver App.

Trip information may include:

  • pickup location;
  • destination information where legally and operationally appropriate;
  • applicable fare information;
  • Passenger information permitted by law;
  • Service Type;
  • Trip status; and
  • other operational information.

 

SECTION 18. ACCEPTANCE AND COMPLETION OF TRIPS

A TNC Driver may accept or decline Trip requests subject to Applicable Law and Platform requirements.

Once a Driver accepts a Trip, the Driver shall make reasonable efforts to complete the Trip safely and lawfully.

A Driver shall not intentionally manipulate Trip status, cancellation information, location data, or fare information.

 

SECTION 19. TNC FARES

CiRide may establish or administer TNC fares in accordance with Applicable Law.

Applicable fare information shall be displayed or otherwise disclosed through the CiRide Passenger Application as required.

 

SECTION 20. TNC PAYMENT PROCESSING

TNC Passenger payments shall be processed electronically through the CiRide Platform and applicable payment-processing systems.

TNC Drivers shall not accept cash payment for a TNC Trip where Applicable Law or the applicable CiRide TNC service model prohibits cash payment.

CiRide may use the Stripe Payment Gateway or another authorized electronic payment provider.

 

SECTION 21. TNC DRIVER COMPENSATION

Subject to Applicable Law, the TNC Driver acknowledges entitlement to the applicable Gross Fare attributable to completed Trips, less:

  • applicable statutory fees;
  • Government Fees;
  • applicable insurance costs;
  • authorized payment-processing amounts;
  • refunds or adjustments;
  • applicable taxes;
  • other legally authorized deductions; and
  • other amounts expressly permitted by these Terms or Applicable Law.

Nothing in this section permits CiRide to reduce Driver compensation below any mandatory minimum compensation requirement.

Where Applicable Law establishes a mandatory minimum compensation amount, CiRide shall comply with that requirement.

 

SECTION 22. TNC EARNINGS DISBURSEMENTS

CiRide intends to make eligible TNC Driver earnings available for daily electronic disbursement through the applicable payment system.

Daily availability is subject to:

  • payment-processing requirements;
  • banking procedures;
  • fraud prevention;
  • chargebacks;
  • adjustments;
  • regulatory requirements; and
  • other applicable payment conditions.

Where Applicable Law requires a different payment schedule or method, CiRide shall comply with the legally required standard.

 

SECTION 23. TRIP RECORDS AND RECEIPTS

CiRide shall maintain and provide Trip information as required by Applicable Law.

Trip records may include:

  • Trip date;
  • Trip time;
  • pickup location;
  • drop-off location;
  • passenger-platform time;
  • mileage;
  • fare;
  • tips;
  • deductions;
  • Driver Earnings; and
  • other information required by law.

 

SECTION 24. TNC INSURANCE

The TNC Driver must maintain all legally required personal and commercial transportation insurance.

The Driver shall provide proof of insurance upon request.

The Driver is responsible for understanding the coverage required for the Driver's operation.

 

SECTION 25. TNC INSURANCE DISCLOSURE

Drivers are responsible for understanding:

  • policy limits;
  • exclusions;
  • deductibles;
  • conditions;
  • coverage periods; and
  • other insurance requirements applicable to their operation.

CiRide does not represent that a Driver's personal insurance policy alone satisfies all Applicable Law.

 

SECTION 26. TNC VEHICLE REQUIREMENTS

TNC vehicles must satisfy all applicable requirements concerning:

  • age;
  • registration;
  • safety;
  • inspection;
  • identification;
  • vehicle condition;
  • insurance; and
  • other regulatory requirements.

 

SECTION 27. VEHICLE INSPECTION

The Driver must ensure that the vehicle passes all required inspections and remains mechanically safe.

CiRide may suspend a vehicle from the Platform if the vehicle:

  • fails an inspection;
  • becomes unsafe;
  • lacks required documentation;
  • violates Applicable Law; or
  • fails applicable CiRide safety requirements.

 

SECTION 28. BACKGROUND CHECKS

CiRide may conduct initial and recurring background checks as required by law or reasonably necessary for Passenger safety.

The Driver must provide accurate information and cooperate with required screening.

 

SECTION 29. DRIVER TRAINING

TNC Drivers must complete all training and examinations required by Applicable Law or CiRide.

Training may include:

  • safety;
  • nondiscrimination;
  • accessibility;
  • customer service;
  • Platform operation;
  • emergency procedures;
  • Applicable Law;
  • zero-tolerance requirements; and
  • other regulatory requirements.

 

SECTION 30. ZERO TOLERANCE

CiRide shall maintain and enforce applicable zero-tolerance requirements concerning:

  • intoxication;
  • impairment;
  • drug or alcohol use while providing transportation;
  • unsafe operation; and
  • other prohibited conduct.

A Driver shall not provide transportation while impaired by alcohol, drugs, medication, fatigue, or any other condition that makes safe operation reasonably unsafe.

 

SECTION 31. DRIVER CONDUCT

Drivers must:

  • operate safely;
  • treat Passengers respectfully;
  • obey traffic laws;
  • maintain professional conduct;
  • protect Passenger privacy;
  • avoid harassment;
  • avoid discrimination;
  • refrain from threats or violence; and
  • comply with CiRide safety policies.

 

SECTION 32. PASSENGER IDENTIFICATION AND SAFETY

Drivers shall use information provided through the CiRide Platform to reasonably confirm that they are picking up the correct Passenger.

Drivers shall take reasonable safety precautions during each Trip.

Drivers shall not disclose unnecessary Passenger information to third parties.

 

SECTION 33. ACCESSIBILITY

Drivers must comply with Applicable Law concerning accessibility.

Drivers shall not discriminate against Passengers with disabilities.

Service animals must be accommodated as required by Applicable Law.

 

SECTION 34. NONDISCRIMINATION

CiRide and Drivers shall comply with Applicable Law concerning nondiscrimination.

A Driver may not refuse service based on a protected characteristic prohibited by law.

 

SECTION 35. OFF-PLATFORM SOLICITATION

A Driver shall not improperly divert CiRide Passengers from the CiRide Platform for the purpose of avoiding applicable CiRide fees, payment procedures, or regulatory requirements.

Nothing in this section prohibits lawful transportation work obtained independently of CiRide.

 

PART C — TAXI COMPANY AND TAXI DRIVER TERMS

SECTION 36. TAXI SERVICE MODEL

The CiRide Taxi Platform allows participating Taxi Companies and Taxi Drivers to receive Passenger requests and use CiRide technology in connection with taxi transportation.

Taxi services remain taxi services and are not converted into TNC services merely because a Passenger uses the CiRide Passenger Application.

 

SECTION 37. TAXI COMPANY RESPONSIBILITY

The Taxi Company is responsible for its taxi operation, including:

  • licensing;
  • permits;
  • vehicles;
  • insurance;
  • fares;
  • Driver licensing;
  • Driver management;
  • employment or contractor arrangements;
  • taxes;
  • maintenance;
  • safety;
  • regulatory compliance; and
  • required records.

 

SECTION 38. TAXI DRIVER LICENSE

Each Taxi Driver must maintain all applicable regional for-hire driver's licenses, permits, endorsements, and other required credentials.

A Taxi Driver may not operate a taxi through the CiRide Platform while legally prohibited from doing so.

 

SECTION 39. TAXI DRIVER SUBSCRIPTION FEE

The Taxi Driver agrees to pay CiRide a $25.00 weekly Platform Subscription Fee, plus applicable taxes where required.

The fee provides access to applicable CiRide taxi technology.

The subscription fee does not establish or alter the Taxi Company's fare structure.

 

SECTION 40. SMART TAXIMETER

The Taxi Driver shall use the CiRide Smart Taximeter when required for taxi Trips using the CiRide Taxi Platform.

The Smart Taximeter may:

  • calculate fares;
  • display fares;
  • record Trip information;
  • transmit Trip information;
  • support payment processing; and
  • provide other authorized taxi functions.

 

SECTION 41. TAXI FARES

Taxi fares shall be established and applied in accordance with Applicable Law and the Taxi Company's authorized fare structure.

The Taxi Driver shall not arbitrarily alter the applicable taxi fare.

 

SECTION 42. TAXI PAYMENT PROCESSING

Where the Taxi Company elects to use the CiRide-integrated Square payment arrangement:

  1. Passenger card payments are processed through the Taxi Company's privately linked Square Account;
  2. the Square Terminal may be paired with the taxi vehicle or applicable CiRide technology;
  3. funds are processed through the Taxi Company's applicable payment account; and
  4. CiRide does not become the owner of the Taxi Company's Square Account merely because the technology is integrated with the CiRide Platform.

 

SECTION 43. TAXI COMPANY FARE CONTROL

The Taxi Company is responsible for ensuring that the correct fare structure is communicated to CiRide and configured for use with the Smart Taximeter.

The Taxi Company shall promptly notify CiRide of any authorized fare changes.

 

SECTION 44. TAXI VEHICLE CONDITION

The Taxi Company and Taxi Driver shall maintain the vehicle in safe, clean, sanitary, and legally compliant condition.

A vehicle that becomes unsafe or legally ineligible must not be used for Passenger transportation.

 

SECTION 45. TAXI DRIVER MANAGEMENT

The Taxi Company retains responsibility for supervising and managing its Taxi Drivers.

CiRide's technology standards do not transfer the Taxi Company's employment, contractor, supervisory, licensing, or regulatory responsibilities to CiRide.

 

SECTION 46. TAXI PASSENGER REQUESTS

Taxi Drivers may receive Passenger requests through the CiRide Passenger Application or other authorized dispatch methods.

Taxi Drivers shall handle accepted Trips in accordance with Applicable Law and Taxi Company policies.

 

PART D — SHARED CIRIDE PASSENGER APPLICATION

SECTION 47. PASSENGER REQUESTS TO TNC AND TAXI DRIVERS

A Passenger request originating from the CiRide Passenger Application may be dispatched to either:

  • a TNC Driver; or
  • a Taxi Driver affiliated with a participating Taxi Company.

The applicable Service Type may be determined based on:

  • availability;
  • Passenger preference;
  • Service Type;
  • geographic location;
  • dispatch configuration;
  • regulatory requirements; and
  • other applicable circumstances.

 

SECTION 48. IDENTIFICATION OF SERVICE TYPE

CiRide may identify whether a Passenger is being served by:

  • TNC transportation; or
  • Taxi transportation.

The applicable payment, fare, licensing, insurance, and regulatory requirements shall correspond to the applicable Service Type.

 

SECTION 49. PASSENGER INFORMATION

CiRide may provide Drivers with information reasonably necessary to perform a Trip.

Drivers shall use Passenger information only for legitimate transportation, customer-service, and safety purposes.

 

PART E — SAFETY, CONDUCT AND COMPLIANCE

SECTION 50. PROHIBITED CONDUCT

Drivers shall not:

  • drive while impaired;
  • engage in violence or threats;
  • harass a Passenger;
  • sexually harass or assault a Passenger;
  • discriminate;
  • carry prohibited items in violation of law;
  • falsify Trip information;
  • misuse Passenger information;
  • manipulate fares;
  • accept prohibited payments;
  • use another Driver's account;
  • allow an unauthorized person to drive;
  • interfere with safety systems; or
  • engage in fraudulent activity.

 

SECTION 51. ACCIDENT REPORTING

Drivers must promptly report accidents involving a CiRide Trip when required by Applicable Law, insurance requirements, or CiRide policy.

The Driver shall provide accurate information concerning:

  • location;
  • date and time;
  • vehicles involved;
  • injuries;
  • law-enforcement response;
  • insurance information; and
  • other relevant circumstances.

 

SECTION 52. DRIVER LICENSE SUSPENSION OR REVOCATION

A Driver must immediately notify CiRide and, where applicable, the Taxi Company of any:

  • suspension;
  • revocation;
  • expiration;
  • restriction; or
  • other material change

affecting the Driver's authorization to operate.

A Driver may not provide transportation through CiRide while legally prohibited from doing so.

 

SECTION 53. CRIMINAL OR REGULATORY MATTERS

CiRide may require disclosure of information concerning criminal, licensing, regulatory, or safety matters to the extent permitted or required by Applicable Law.

CiRide may take appropriate action where a matter affects Driver eligibility or Passenger safety.

 

SECTION 54. GOVERNMENT NOTICES

Drivers must promptly provide CiRide with notices received from Regulatory Authorities that materially affect:

  • Driver eligibility;
  • licensing;
  • insurance;
  • vehicle eligibility;
  • transportation authorization;
  • safety; or
  • legal compliance.

 

SECTION 55. REGULATORY COOPERATION

Drivers shall cooperate with lawful regulatory inquiries and investigations.

CiRide may provide records or information to Regulatory Authorities when legally required or permitted.

 

SECTION 56. RECORDKEEPING

CiRide shall maintain records required by Applicable Law.

Drivers shall provide accurate information necessary for required records.

 

SECTION 57. GOVERNMENT REPORTING

CiRide may report information to Regulatory Authorities as required by law.

Required reporting may include:

  • Trip data;
  • Driver information;
  • vehicle information;
  • collisions;
  • complaints;
  • licensing information;
  • accessibility information;
  • regulatory compliance information; and
  • other legally required data.

Government agencies remain responsible for governmental licensing, permitting, enforcement, and regulatory decisions.

 

PART F — ACCOUNT SUSPENSION AND TERMINATION

SECTION 59. TEMPORARY SUSPENSION

CiRide may temporarily suspend a Driver's access where reasonably necessary because of:

  • safety concerns;
  • regulatory concerns;
  • suspected fraud;
  • missing documents;
  • insurance issues;
  • vehicle issues;
  • complaints;
  • investigation;
  • payment problems;
  • account-security concerns; or
  • violation of these Terms.

 

SECTION 60. DEACTIVATION

CiRide may deactivate a Driver account for material violations of these Terms or Applicable Law.

Where Applicable Law establishes specific deactivation procedures, appeal rights, notice requirements, or remedies, those requirements shall apply.

 

SECTION 61. DRIVER APPEAL

Where CiRide provides an appeal process, the Driver may submit an appeal in accordance with the applicable procedure.

The Driver may provide supporting documents or information.

CiRide shall review appeals in accordance with its applicable policies and Applicable Law.

 

SECTION 62. ACCOUNT TERMINATION BY DRIVER

A Driver may terminate participation by discontinuing use of the CiRide Platform and requesting account closure.

Termination does not eliminate outstanding payment obligations or provisions that survive termination.

 

SECTION 63. TERMINATION BY CIRIDE

CiRide may terminate access where permitted by Applicable Law because of:

  • material breach;
  • fraud;
  • safety concerns;
  • regulatory disqualification;
  • unauthorized account use;
  • nonpayment;
  • repeated violations;
  • unlawful conduct; or
  • other legitimate business or regulatory reasons.

 

SECTION 64. EFFECT OF TERMINATION

Upon termination:

  • Platform access may be disabled;
  • pending amounts may be processed;
  • outstanding fees may remain payable;
  • confidentiality obligations remain applicable;
  • privacy obligations remain applicable;
  • intellectual-property obligations remain applicable;
  • dispute-resolution provisions remain applicable; and
  • records may be retained as required by law.

 

PART G — FEES, PAYMENT AND TAXES

SECTION 65. PLATFORM FEES

The applicable Platform Subscription Fee is:

TNC Driver: $50.00 per week

Taxi Driver: $25.00 per week

CiRide may establish additional fees only as permitted by these Terms, a separate written agreement, or Applicable Law.

 

SECTION 66. PAYMENT OF SUBSCRIPTION FEES

Subscription fees may be charged through an authorized payment method.

The Driver authorizes CiRide to process applicable recurring subscription charges.

 

SECTION 67. FAILED PAYMENT

If a subscription payment fails, CiRide may:

  • notify the Driver;
  • retry payment;
  • restrict Platform access;
  • suspend account functionality; or
  • pursue lawful collection of outstanding amounts.

 

SECTION 68. TAX RESPONSIBILITIES

Each Driver and Taxi Company is responsible for its own tax obligations unless Applicable Law provides otherwise.

CiRide may provide applicable tax reporting information required by law.

 

SECTION 69. GOVERNMENT FEES

CiRide may collect or deduct Government Fees when required by law.

Government Fees may include applicable:

  • regulatory fees;
  • per-Trip assessments;
  • accessibility fees;
  • taxes;
  • licensing fees; and
  • other governmental charges.

 

PART H — PRIVACY, DATA AND INTELLECTUAL PROPERTY

SECTION 70. PASSENGER PRIVACY

Drivers shall protect Passenger information and shall not use Passenger information for unauthorized purposes.

Drivers shall not sell, disclose, publish, or misuse Passenger personal information.

 

SECTION 71. DRIVER INFORMATION

CiRide may collect Driver information necessary to:

  • operate the Platform;
  • verify eligibility;
  • process payments;
  • maintain records;
  • satisfy regulatory obligations;
  • investigate safety matters;
  • provide customer support; and
  • administer the Driver account.

 

SECTION 72. DATA SECURITY

CiRide will implement reasonable security measures appropriate to the information and systems involved.

Drivers must also protect account credentials and devices.

 

SECTION 73. INTELLECTUAL PROPERTY

CiRide retains all rights in its:

  • software;
  • applications;
  • technology;
  • databases;
  • systems;
  • trademarks;
  • designs;
  • documentation; and
  • other intellectual property,

except for rights expressly granted to others.

 

SECTION 74. LIMITED LICENSE

Subject to these Terms, CiRide grants an authorized Driver a limited, non-exclusive, non-transferable, revocable license to use the applicable CiRide Platform solely for authorized transportation services.

 

SECTION 75. TRADEMARKS AND TRADE DRESS

Drivers may use CiRide trademarks, logos, decals, trade dress, or other branding only as authorized.

Drivers shall not modify, reproduce, or misuse CiRide branding.

 

PART I — INSURANCE, INDEMNIFICATION AND LIABILITY

SECTION 76. DRIVER INSURANCE

Each Driver shall maintain legally required insurance appropriate to the applicable Service Type.

A Driver shall immediately notify CiRide of cancellation, expiration, suspension, or material modification of required coverage.

 

SECTION 77. DRIVER RESPONSIBILITY

Drivers remain responsible for:

  • lawful vehicle operation;
  • vehicle maintenance;
  • compliance with traffic laws;
  • applicable licenses and permits;
  • insurance;
  • Passenger safety;
  • personal tax obligations; and
  • their own acts and omissions.

 

SECTION 78. INDEMNIFICATION

To the maximum extent permitted by law, a Driver shall indemnify and hold harmless CiRide from third-party claims arising from the Driver's:

  • unlawful conduct;
  • negligence;
  • willful misconduct;
  • unauthorized use of the Platform;
  • violation of these Terms; or
  • breach of Applicable Law.

This provision shall not require a Driver to indemnify CiRide for claims caused by CiRide's own unlawful conduct, gross negligence, or intentional misconduct where such limitation is prohibited by law.

 

SECTION 79. LIMITATION OF LIABILITY

To the maximum extent permitted by law, CiRide shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform.

Nothing in this section limits liability that cannot lawfully be limited.

 

SECTION 80. PLATFORM AVAILABILITY

CiRide does not guarantee uninterrupted Platform availability.

The Platform may be unavailable because of:

  • maintenance;
  • software updates;
  • telecommunications failures;
  • payment-system failures;
  • cybersecurity incidents;
  • governmental action;
  • emergencies;
  • third-party service interruptions; or
  • other circumstances beyond CiRide's reasonable control.

 

PART J — DISPUTE RESOLUTION

SECTION 81. MANDATORY INDIVIDUAL ARBITRATION

Except for disputes that Applicable Law prohibits from being arbitrated, the parties agree that disputes arising out of or relating to these Terms or the Driver's use of the CiRide Platform shall be resolved through individual binding arbitration rather than court litigation.

The arbitration shall be conducted on an individual basis.

Nothing in this section prevents a Driver from exercising a right that cannot legally be waived.

 

SECTION 82. CLASS ACTION WAIVER

To the maximum extent permitted by law, CiRide and the Driver agree that claims may be brought only on an individual basis and not as a:

  • class action;
  • collective action;
  • consolidated action; or
  • representative action.

This waiver does not apply to rights that Applicable Law prohibits the parties from waiving.

 

SECTION 83. NO CLASS ARBITRATION

Unless required otherwise by Applicable Law, the arbitrator shall not conduct a class, collective, consolidated, or representative arbitration.

 

SECTION 84. GOVERNMENT AGENCY RIGHTS

Nothing in the arbitration provisions prevents a Driver from:

  • filing a complaint with a governmental agency;
  • participating in a governmental investigation;
  • exercising rights before a Regulatory Authority;
  • reporting suspected legal violations; or
  • exercising other rights that cannot legally be waived.

 

SECTION 85. DEACTIVATION AND STATUTORY PROCEDURES

Nothing in the arbitration provisions eliminates or restricts statutory procedures applicable to:

  • Driver deactivation;
  • Driver compensation;
  • regulatory enforcement;
  • government investigations;
  • administrative proceedings; or
  • other legally protected procedures.

 

SECTION 86. ARBITRATION ADMINISTRATION

Unless otherwise required by Applicable Law, arbitration shall be administered by a recognized arbitration provider under its applicable rules.

The arbitrator shall have authority to award remedies available under Applicable Law.

 

SECTION 87. VENUE

Where court proceedings are permitted or required, venue shall be in an appropriate court located in Washington State, subject to Applicable Law.

 

PART K — GENERAL LEGAL PROVISIONS

SECTION 88. GOVERNING LAW

These Terms shall be governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where federal law or another mandatory law applies.

 

SECTION 89. SEATTLE AND KING COUNTY REQUIREMENTS

Where services are provided in Seattle or King County, the Driver and CiRide shall comply with applicable:

  • Seattle Municipal Code;
  • King County Code;
  • Washington State law;
  • licensing requirements;
  • permitting requirements;
  • transportation regulations; and
  • other Applicable Law.

 

SECTION 90. REGULATORY CHANGES

Transportation laws and regulations may change.

CiRide may modify these Terms as reasonably necessary to comply with changes in:

  • Washington law;
  • Seattle regulations;
  • King County regulations;
  • licensing requirements;
  • insurance requirements;
  • compensation requirements;
  • safety requirements; or
  • other Applicable Law.

 

SECTION 91. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.

 

SECTION 92. ENTIRE AGREEMENT

These Terms, together with applicable CiRide policies and separate written agreements, constitute the agreement governing the Driver's use of the CiRide Platform.

If a separate written Taxi Company agreement conflicts with these Terms, the parties shall apply the specific written agreement to the extent the conflict concerns the Taxi Company's separate commercial relationship with CiRide.

 

SECTION 93. TAXI COMPANY AGREEMENTS

A participating Taxi Company may enter into a separate Master Service Agreement or other written agreement with CiRide.

Such an agreement may establish:

  • commercial terms;
  • equity or investment arrangements;
  • subscription arrangements;
  • transition services;
  • Driver counts;
  • technology services;
  • payment arrangements;
  • customer acquisition arrangements;
  • data services; and
  • other business terms.

 

SECTION 94. NO WAIVER

Failure by CiRide to enforce any provision immediately does not constitute a waiver of its right to enforce that provision later.

 

SECTION 95. ASSIGNMENT

A Driver may not transfer or assign rights or obligations under these Terms without CiRide's written consent.

CiRide may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or other lawful business transaction.

 

SECTION 96. AMENDMENTS

CiRide may amend these Terms by providing notice through:

  • the Driver App;
  • website;
  • email;
  • written notice; or
  • another reasonable communication method.

Continued use of the CiRide Platform after an effective amendment constitutes acceptance to the extent permitted by law.

 

SECTION 97. ELECTRONIC RECORDS

Electronic records, notices, account records, Trip records, electronic receipts, and other digital communications may be used as evidence of transactions and communications, subject to Applicable Law.

 

SECTION 98. ELECTRONIC SIGNATURE

A Driver's electronic acceptance, checkbox acknowledgment, electronic signature, or continued authorized use of the CiRide Platform may constitute acceptance of these Terms to the extent permitted by law.

 

SECTION 99. SURVIVAL

The following provisions survive termination to the extent applicable:

  • payment obligations;
  • confidentiality;
  • privacy;
  • intellectual property;
  • indemnification;
  • limitation of liability;
  • dispute resolution;
  • arbitration;
  • class-action waiver;
  • governing law;
  • recordkeeping; and
  • any other provision intended by its nature to survive.

 

PART L — FINAL DRIVER ACKNOWLEDGMENT

SECTION 100. DRIVER ACKNOWLEDGMENT

By downloading, installing, logging into, accessing, or operating the CiRide Driver App, the Driver confirms and acknowledges the following:

100.1 Acceptance of Terms

The Driver confirms that the Driver has read, understood, and agreed to be bound by these Terms and Conditions, including:

  • Part A — General Terms;
  • Part B — TNC Driver Terms, if the Driver is a TNC Driver;
  • Part C — Taxi Company and Taxi Driver Terms, if the Driver is a Taxi Driver;
  • Part D — Shared CiRide Passenger Application provisions;
  • Part E — Safety, Conduct and Compliance provisions;
  • Part F — Account Suspension and Termination provisions;
  • Part G — Fees, Payment and Taxes provisions;
  • Part H — Privacy, Data and Intellectual Property provisions;
  • Part I — Insurance, Indemnification and Liability provisions;
  • Part J — Dispute Resolution provisions; and
  • Part K — General Legal Provisions.

100.2 TNC Driver Acknowledgment

For TNC Drivers:

The Driver expressly acknowledges and confirms that the intended relationship with CiRide is solely that of an independent contractor, subject to Applicable Law.

The Driver acknowledges that no employment relationship is created solely by use of the CiRide Platform.

The TNC Driver agrees to pay the $50.00 weekly Platform Subscription Fee, plus applicable taxes where required.

The TNC Driver acknowledges that, subject to Applicable Law and mandatory minimum compensation requirements, the Driver is entitled to the applicable Gross Fare attributable to the Driver's Trips, less applicable statutory fees, insurance costs, Government Fees, authorized deductions, adjustments, and other legally permitted amounts.

The TNC Driver accepts electronic earnings disbursements managed through the applicable Stripe Payment Gateway, subject to payment-processing requirements and Applicable Law.

100.3 Taxi Driver and Taxi Company Acknowledgment

For Taxi Drivers and Taxi Companies:

The Taxi Driver agrees to the $25.00 weekly Platform Subscription Fee, plus applicable taxes where required.

The Taxi Driver and Taxi Company acknowledge that applicable card payments may be processed directly through the Taxi Company's privately linked Square Account using the paired Square Terminal.

The Taxi Driver agrees to charge fares established by the affiliated Taxi Company and applicable governmental requirements.

The Taxi Company remains responsible for:

  • taxi licensing;
  • vehicle permits;
  • Driver licensing;
  • fare structure;
  • insurance;
  • vehicle maintenance;
  • Driver management;
  • regulatory compliance;
  • employment or contractor relationships; and
  • applicable taxes.

100.4 Passenger Application Acknowledgment

The Driver acknowledges that Passenger ride requests originating from the CiRide Passenger Application may be dispatched to both Taxi Drivers and TNC Drivers based on:

  • availability;
  • Passenger preference;
  • Service Type;
  • geographic location;
  • dispatch configuration;
  • regulatory requirements; and
  • other applicable circumstances.

100.5 Mandatory Arbitration and Class Action Waiver

The Driver acknowledges and accepts the Mandatory Binding Individual Arbitration and Class Action Waiver provisions contained in these Terms, subject to all rights and procedures that cannot lawfully be waived.

100.6 Compliance Acknowledgment

The Driver confirms that the Driver will:

  • maintain all required licenses and permits;
  • maintain required insurance;
  • maintain an eligible vehicle;
  • comply with Applicable Law;
  • comply with CiRide safety requirements;
  • protect Passenger information;
  • provide accurate information;
  • comply with applicable payment rules;
  • comply with nondiscrimination requirements;
  • comply with accessibility requirements; and
  • immediately notify CiRide of material changes affecting Driver eligibility.

REGULATORY DISCLAIMER

These Terms are intended to establish the contractual framework for use of the CiRide Platform.

They are not intended to replace or supersede any federal, Washington State, King County, City of Seattle, insurance, licensing, permitting, transportation, tax, accessibility, nondiscrimination, privacy, or other legal requirement.

Where Applicable Law imposes a requirement that conflicts with a provision of these Terms, Applicable Law shall control to the extent required.

The independent-contractor provisions in these Terms describe the parties' intended contractual relationship but do not determine legal classification where Applicable Law provides otherwise.

The compensation provisions do not waive or limit any mandatory minimum compensation requirement.

The arbitration and class-action provisions do not waive governmental enforcement authority or any statutory right that cannot lawfully be waived.

CiRide recommends that these Terms be reviewed periodically by qualified Washington legal counsel, particularly when there are changes to TNC, taxi, independent-contractor, compensation, insurance, privacy, arbitration, tax, or transportation laws and regulations.
